[Community] summary of today's (4/18/2007) call

Sorry about the call-in number mixup, and thanks to the participants of
this morning's call: Kaliya Hamlin, Eugene Eric Kim, Joaquin Miller, and
Dan Perry.
= Bylaws =
We spent the majority of the call going over the Bylaws draft that Dan
put together.
The bylaws reproduce both the purpose and principles. Dan said that the
reason for reproducing the purpose, given that they're already in the
Articles of Incorporation, is purely for convenience -- they're all in
one package.
Dan used IC1's bylaws as a template, and noted that he needed to make
sure he replaced all mention of "Members" with "Stewards."
We discussed the granularity of Article XV (Working Groups). Joaquin
noted the importance of this clause and suggested we move it higher. Dan
explained the difference between articles, bylaws, and operating
procedures. We decided to move some of this article's operational stuff
(mailing lists, etc.) into the operating procedures. We also decided to
revise the removal clause to be "removal for cause."
Article IV.1 needs bootstrapping language. In other words, do we need to
officially revote for Working Groups once we incorporate?
We'll revise Article IV.3 to note that we have agreed on voting
procedures (majority rules).
We can eliminate Article V.
We can remove the second sentence of Article VI.4, since the only way to
remove a Steward is for the Working Group to remove him or her, or to
decharter the Working Group entirely.
We remove Article VI.7, as our meetings will all be over email, and so we
technically will always have a quorum present (given enough lead-time).
= Quorum, Voting, and Working Group Dissolution =
Some bigger issues that I think deserve to be called out:
* Do we need to have a majority of Stewards (as opposed to Stewards
voting) to pass a vote?
Our consensus on the call was that the answer should be yes. The
difficulty is if we have a bunch of inactive Stewards or inactive
Working Groups who aren't participating.
* Kaliya noted that we need to be careful about language for
dissolution. Dissolving a Working Group is not necessarily a bad
thing -- in fact, it can be a great thing if a Working Group finishes
what it sets out to do -- and the language should reflect this.
= Articles =
Dan said there are four Stewards who have still not submitted their snail
mail addresses for the Articles of Incorporation. Some folks have
expressed concerns over privacy. One alternative may be to accept an
i-name from folks who are concerned about this.
